Fractional / Interim Transaction Accounting Manager

Who do I serve?

Public and private international companies in the corporate sector domiciled in Germany and the German-speaking cantons of Switzerland during special circumstances (e.g., M&A transactions, IPO, funding rounds, restructuring, audits, etc.)

What do I specifically do?

Manage all accounting aspects during M&A transactions:

  • Provide project management office (PMO) solutions to manage project processes and timelines in collaboration with all stakeholders (e.g., manage data rooms and coordinate stakeholders’ access/input, manage accounting/finance efficiency gain projects, etc.)
  • Provide analyses of budgets, financial reports, and financial trends to support strategic decisions/goals
  • Support financial due diligence procedures (quantitative impact and accounting impact assessments, pre-acquisition financial reporting impact assessments, quality of earnings assessment, identification of red flags, etc.)
  • Prepare financial statements (single, group, combined, carve-out, pro forma) including footnotes/disclosures
  • Manage GAAP conversions and new GAAP introductions (local GAAP to IFRS/U.S. GAAP)
  • Prepare purchase price allocations and integrate the acquired business into the buyer’s accounting infrastructure (e.g., prepare consolidation sheets, setup new company codes, etc.)
  • Update accounting manuals and/or internal control frameworks
  • Manage and execute compliance tasks to support internal control frameworks through relevant control testing, reconciliations, and documentation

What is my related experience?

Broad accounting expertise throughout the entire deal cycle from pre-acquisition financial impact assessments to post-acquisition purchase price allocations and accounting/reporting integrations:

  • Assessed the financial implications of loan covenants and identified areas of risks and optimization
  • Reviewed and assessed financial implications of various M&A transactions, ensuring accuracy and adherence to accounting standards
  • Analyzed various due diligence reports (commercial, financial, tax, legal) and prepared comprehensive deal summaries for assurance engagements
  • Reviewed complex financial models to support transaction valuation, scenario analysis, and sensitivity testing
  • Prepared purchase price allocation under IFRS 3 for a German automotive supplier as part of an acquisition in the United Kingdom and justified the model and assumptions in front of the company’s auditors, and ensured proper accounting treatment of acquired assets and liabilities
  • Reviewed the accounting integration of acquired businesses, aligning chart of accounts and reporting processes.
  • Developed and implemented post-transaction accounting policies for the acquired assets/business
  • Presented transaction-related insights at internal conferences and workshops
